2. Acceptance of the Agreement
2.1. By creating an Account, clicking to accept, or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
2.2. If you accept on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2.3. This Agreement is the entire agreement between you and us regarding the Service and supersedes any prior discussions or proposals. Purchase orders, vendor portals and your own standard terms have no effect unless we sign them.
2.4. Where a separate signed order form or enterprise agreement exists between you and us, that document prevails over this Agreement to the extent of any conflict.
3. Account Registration and Eligibility
3.1. Eligibility. You must be at least 18 years old and legally capable of entering into a binding contract. The Service is offered for business and professional use. It is not designed or offered for consumers acting outside a trade, business or profession.
3.2. Accurate information. You must provide accurate, current and complete registration information and keep it up to date, including a valid billing contact.
3.3. Account security. You are responsible for safeguarding your credentials and for all activity that occurs under your Account. Notify us at support@wocomment.com without undue delay if you suspect unauthorised access.
3.4. Users. You may invite team members to your Account. You are responsible for their acts and omissions as if they were your own, and for ensuring they comply with this Agreement.
3.5. One trial per organisation. You may not create multiple Accounts to obtain additional Trials or to circumvent plan limits.
4. Free Trial
4.1. We offer a free trial of 7 days, limited to a maximum of 500 Processed Comments, whichever limit is reached first. No credit card is required to start the Trial.
4.2. When either limit is reached, automated actions and AI processing stop. Your Account remains accessible in a read-only or limited state until you select a paid plan.
4.3. The Trial does not automatically convert into a paid subscription. No charge is made unless and until you actively subscribe.
4.4. Trial Accounts are provided as is, without warranties or service-level commitments of any kind. We may modify, limit or end the Trial programme at any time.
4.5. We may terminate a Trial Account and delete its data if the Account is inactive for a prolonged period after the Trial ends, subject to the retention periods in the Privacy Policy.
5. Plans, Usage Limits and Fair Use
5.1. Paid plans and their monthly Processed Comment allowances are:
| Plan | Price (USD/month) | Processed Comments per month |
|---|---|---|
| Start | $29 | 5,000 |
| Growth | $49 | 10,000 |
| Pro | $99 | 25,000 |
| Elite | $199 | 50,000 |
5.2. All prices are stated in US Dollars (USD) and are exclusive of VAT and any other applicable taxes (see Section 7).
5.3. Allowance period. Allowances reset at the start of each billing month. Unused Processed Comments do not roll over.
5.4. Exceeding your allowance. If you reach your monthly allowance, we may (a) notify you and pause AI processing and automated actions until the next period, or (b) where you have enabled it, upgrade you or charge for overage at the rate shown in the dashboard at the time. We will not apply overage charges without prior notice and your acceptance of the applicable rate.
5.5. Annual billing. Annual plans are billed in advance for twelve months at the price of ten months (two months free). Annual plans carry the corresponding annual allowance, allocated monthly unless the dashboard states otherwise.
5.6. Fair use. The Service is intended for normal commercial moderation workloads. We may apply reasonable technical limits (for example API request rates, retention windows, number of Connected Pages) to protect platform stability, and will document material limits in the dashboard or documentation.
5.7. Plan changes. Upgrades take effect immediately, with a pro-rated charge for the remainder of the current period. Downgrades take effect at the start of the next billing period.
6. Billing, Renewal and Price Changes
6.1. Payment processor. Payments are processed by Stripe. By subscribing you also accept Stripe's applicable terms. We do not store full payment card details.
6.2. Billing cycle. Subscriptions are billed in advance, monthly or annually depending on the plan you choose, starting on the date you subscribe.
6.3. Automatic renewal. Your subscription renews automatically for successive periods of the same length unless you cancel before the end of the current period. By subscribing you authorise us and Stripe to charge your payment method on each renewal date until you cancel.
6.4. Failed payments. If a charge fails, we may retry it over a reasonable period. If payment remains outstanding, we may suspend the Service under Section 12. We may charge statutory interest and reasonable collection costs on overdue amounts as permitted by Dutch law.
6.5. Price changes. We may change prices. We will give you at least 30 days' notice by email or in-app before a change takes effect. The new price applies from your next renewal date. If you do not accept the new price, you may cancel before it takes effect; cancellation is your exclusive remedy for a price change.
6.6. No set-off. You must pay all fees in full without set-off, deduction or counterclaim, except where mandatory law provides otherwise.
6.7. Invoices. Invoices are made available electronically in your Account. You are responsible for providing correct billing and tax details; we are not liable for consequences of incorrect details you supply.
7. Taxes and VAT
7.1. Prices are exclusive of VAT, sales tax, GST and similar taxes, which are added where applicable at the rate in force at the time of invoicing.
7.2. EU business customers. If you are a VAT-registered business established in an EU Member State other than the Netherlands and you provide a valid VAT identification number, VAT is reverse charged to you under the applicable EU VAT rules, and the invoice will be marked accordingly. You are responsible for accounting for VAT in your own Member State.
7.3. Netherlands customers. Dutch VAT is charged at the applicable rate.
7.4. Non-EU customers. Where we are required to collect VAT, GST or similar taxes in your jurisdiction, those amounts will be added to your invoice. You remain responsible for any taxes, duties or withholdings imposed on you locally.
7.5. Validity of tax details. You are responsible for the accuracy of any VAT number or tax status you provide. If a tax authority determines that tax was due and not charged because of information you supplied, you must reimburse us for that tax and any related interest or penalties.
7.6. Fees are exclusive of withholding taxes. If you are required by law to withhold, you must gross up the payment so that we receive the full invoiced amount.
8. Cancellation and Effect of Cancellation
8.1. How to cancel. You may cancel at any time from the billing area of your Account or by emailing support@wocomment.com. No reason is required.
8.2. When cancellation takes effect. Cancellation takes effect at the end of the current paid period. The Service remains available until then. We do not pro-rate the unused part of a period except where the Refund Policy or mandatory law says otherwise.
8.3. Effect. On the effective date of cancellation: automated moderation stops; webhook subscriptions and Platform connections are disconnected; AI Features are disabled; and your Account moves to a closed or limited state.
8.4. Data export. You may export your data at any time while your subscription is active. After cancellation we keep Customer Data for a limited grace period as set out in the Privacy Policy and the Data Processing Agreement, after which it is deleted or anonymised. Export your data before cancelling if you need it.
8.5. Outstanding amounts. Cancellation does not relieve you of the obligation to pay fees already accrued.
9. Refunds
9.1. Refunds are governed by our separate Refund Policy, available at wocomment.com/refund-policy, which forms part of this Agreement.
9.2. Nothing in this Agreement limits any non-waivable statutory right you may have under mandatory consumer law, where such law applies to you.
10. Acceptable Use and Prohibited Conduct
10.1. You may use the Service only for lawful business purposes and in accordance with this Agreement, the applicable Platform terms and applicable law.
10.2. You must not, and must not permit anyone else to:
a. connect a Page, account or advertiser asset you are not authorised to manage;
b. use the Service to unlawfully suppress, silence or conceal lawful speech in a way that breaches applicable law, including consumer-protection, competition or platform-integrity rules;
c. publish or automate content that is unlawful, defamatory, harassing, hateful, deceptive, or that infringes third-party rights;
d. use the Service to distribute spam, phishing content, malware or fraudulent commercial messaging;
e. scrape, harvest or build databases of personal data beyond what the Service is designed to process for moderation purposes;
f. reverse engineer, decompile or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by mandatory law;
g. resell, sublicense, or provide the Service to third parties as a standalone service, unless expressly agreed with us in writing (agency use for your own clients' Connected Pages is permitted where you hold the necessary authority);
h. circumvent usage limits, rate limits, authentication or billing mechanisms;
i. interfere with or place undue load on the Service or its infrastructure, including through automated request floods or denial-of-service activity;
j. use the Service to build a competing product, or to benchmark it for a competitor, without our written consent;
k. upload Customer Data that you have no lawful basis to process;
l. submit to AI Features special categories of personal data (as defined in the GDPR), payment card data or government identification numbers, other than as unavoidably contained in comments submitted by third parties.
10.3. Sensitive uses. The Service is not designed for use in contexts where moderation errors could create risk to life, health or safety, and must not be used as a compliance control where automated accuracy is legally required.
10.4. We may investigate suspected breaches of this Section and cooperate with law enforcement where legally required.
11. Your Responsibilities
11.1. Authority over Connected Pages. You represent and warrant that, for each Connected Page, you are the owner or have been duly authorised by the owner to connect it, to grant the requested permissions, and to take moderation actions (hide, delete, reply) on it. You must remove any Connected Page for which that authority ends.
11.2. Platform terms. Your use of the Service through Meta and TikTok is also subject to those Platforms' terms, policies and developer rules. You must comply with them. Where a Platform's rules conflict with a configuration you have chosen in the Service, the Platform's rules prevail and we may disable the conflicting configuration.
11.3. Data protection role. As between you and us, you are the data controller for Comment Data and other personal data in Customer Data, and we act as processor on your instructions. You are responsible for having a lawful basis for the processing, for providing required notices to data subjects, and for handling data-subject requests, with our reasonable assistance as described in the Data Processing Agreement.
11.4. Configuration. You are responsible for the rules, keyword lists, thresholds, automation settings and reply templates you configure, and for the outcomes they produce.
11.5. Review. You are responsible for reviewing automated outcomes with reasonable frequency and for correcting them on the Platform where needed.
11.6. Credentials and tokens. You are responsible for maintaining valid Platform authorisations. If a token expires or is revoked, the Service may stop ingesting or acting on comments; this is not a failure of the Service.
11.7. Legal compliance. You are responsible for your compliance with advertising, consumer-protection, employment, defamation and data-protection law in the jurisdictions where you operate.
12. Suspension
12.1. We may suspend your Account or specific features, in whole or in part, if:
a. fees are overdue after we have notified you;
b. we reasonably believe you are breaching Section 10 or Section 11;
c. your use threatens the security, integrity or availability of the Service or another customer's use of it;
d. a Platform requires it, or continued operation would breach a Platform's rules;
e. we are required to do so by law or by a competent authority.
12.2. Except where an immediate suspension is necessary to prevent harm, a legal breach, or a Platform violation, we will give you notice and, where appropriate, a reasonable opportunity to fix the issue.
12.3. We will restore access promptly once the cause of suspension is resolved. Suspension under 12.1(a) or 12.1(b) does not relieve you of the obligation to pay fees for the suspended period.
13. AI Features and Their Limits
13.1. Draft replies require human approval. AI-generated reply drafts are never published automatically. A human user of your Account must review and approve each draft before it is sent to a Platform. You must not attempt to bypass this approval step.
13.2. Classification is probabilistic. Sentiment, spam, purchase-intent and complaint classification are statistical predictions. They will sometimes be wrong. They can produce false positives (hiding or flagging content that should have remained visible) and false negatives (leaving content visible that you would have wanted actioned). We do not warrant accuracy, completeness or fitness for a particular moderation policy.
13.3. Automation is your choice. Where you enable automatic hide, delete or rule-based reply actions, those actions execute without human review by design. You accept the resulting risk. You remain solely responsible for what is published, hidden, deleted or left in place on your Connected Pages.
13.4. AI processing involves a third party. To provide AI Features, comment text and related context are transmitted to our AI inference provider (OpenRouter) and the model providers it routes to. Details are in the Privacy Policy and the Data Processing Agreement. If you do not want comment text sent to an AI provider, do not enable AI Features.
13.5. No professional advice. AI output is not legal, compliance, medical or financial advice, and must not be relied on as such.
13.6. Model changes. We may change, add or replace models, providers and prompts to improve quality, cost or availability. Behaviour and outputs may change as a result.
13.7. Outputs. As between you and us, you own the AI-generated drafts produced for your Account and are responsible for them once approved and published. AI output may be non-unique; identical or similar output may be generated for other customers.
14. Third-Party Platforms and API Dependencies
14.1. The Service depends entirely on third-party Platform APIs. We do not control those APIs and do not guarantee their availability, behaviour or continued existence.
14.2. Platforms may change or restrict features at any time, including by changing endpoints, deprecating permissions, altering rate limits, changing app-review requirements, or withdrawing access. Such changes may reduce or remove functionality of the Service with little or no notice. This is not a breach of this Agreement by us.
14.3. TikTok organic video comments cannot be moderated through the API. TikTok's API does not permit hiding, deleting or replying to comments on organic (non-ad) videos. For organic TikTok content the Service can only monitor comments — ingest, classify and report on them. Moderation actions on TikTok are available only for comments on TikTok ads, to the extent the TikTok API permits. Do not purchase the Service expecting organic TikTok moderation.
14.4. Platform permissions and app-review status may limit which features are available to you at a given time.
14.5. We may add, change or remove Platform integrations. If we permanently remove a Platform integration that was material to your use and you notify us within 30 days, you may terminate the affected subscription and receive a pro-rated refund of prepaid, unused fees for that subscription.
14.6. Your relationship with each Platform is your own. We are not a party to it and are not responsible for a Platform suspending, restricting or terminating your assets.
15. Service Levels, Availability and Support
15.1. We aim to keep the Service available and to process comments promptly, but unless a separate written service-level agreement applies, no uptime, latency or processing-time commitment is given.
15.2. Real time is best effort. Comment ingestion depends on Platform webhooks. Webhooks can be delayed, duplicated, throttled or dropped by the Platform. Delays or missed comments arising from Platform behaviour are outside our control.
15.3. Maintenance. We may perform maintenance, and will try to schedule planned maintenance to minimise disruption. Emergency maintenance may occur without notice.
15.4. Support is provided by email at support@wocomment.com during normal business hours in the Netherlands, on a commercially reasonable-efforts basis.
15.5. Changes to the Service. We may modify, add or remove features. We will not make a change that materially degrades the core functionality of a paid plan without reasonable notice; if we do, you may terminate under Section 18 and receive a pro-rated refund of prepaid, unused fees.
16. Disclaimers
16.1. Except as expressly stated in this Agreement, and to the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
16.2. We do not warrant that the Service will be uninterrupted or error-free, that every comment will be ingested, classified correctly or actioned, that defects will be corrected, or that the Service will meet your specific moderation, legal or brand-safety requirements.
16.3. We are not responsible for reputational, commercial or legal consequences of a comment being hidden, deleted, replied to, or left visible.
16.4. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable mandatory law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for intent or wilful recklessness.
17. Limitation of Liability
17.1. Subject to Section 16.4, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, anticipated savings, or loss or corruption of data, however caused and under any theory of liability, even if advised of the possibility.
17.2. Subject to Section 16.4, our total aggregate liability arising out of or relating to this Agreement and the Service, whether in contract, tort (including negligence), statutory duty or otherwise, is limited to the total fees actually paid by you to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
17.3. Where the Service was provided free of charge (including during the Trial), our aggregate liability is limited to EUR 100.
17.4. The limitations in this Section apply in aggregate across all claims and do not reset per incident.
17.5. Each party must take reasonable steps to mitigate its losses.
17.6. Any claim must be brought within twelve (12) months of the date on which the claiming party became aware, or should reasonably have become aware, of the facts giving rise to it, except where mandatory law provides a longer period.
17.7. The allocation of risk in Sections 16 and 17 is a fundamental basis of the pricing of the Service.
18. Term and Termination
18.1. Term. This Agreement starts when you first create an Account or use the Service and continues until all subscriptions have expired or been terminated and the Account is closed.
18.2. Termination by you. You may cancel your subscription under Section 8 at any time, and may terminate this Agreement by closing your Account once no subscription is active.
18.3. Termination for cause. Either party may terminate this Agreement with immediate effect by written notice if the other party materially breaches it and, where the breach can be remedied, fails to remedy it within 30 days of written notice.
18.4. Termination by us for convenience. We may terminate a subscription on 30 days' notice, in which case we will refund prepaid, unused fees on a pro-rated basis.
18.5. Immediate termination. We may terminate immediately if you breach Sections 10, 11.1 or 19, if payment remains overdue after a suspension, or if you become insolvent, enter suspension of payments, or a comparable proceeding is opened against you.
18.6. Effect of termination. All licences end, access ceases, Platform connections are removed, and accrued fees become due. The consequences for data are those set out in Section 8.4.
18.7. Survival. Sections 1, 6.7, 7, 9, 10, 13.3, 16, 17, 19, 20, 21, 24 and 25 survive termination, together with any other provision that by its nature should survive.
19. Intellectual Property
19.1. Our IP. We and our licensors own all rights in the Service, including its software, models, prompts, rule engine, interfaces, documentation, trade marks and the WoComment brand. No rights are granted except the limited licence in 19.2.
19.2. Licence to you. Subject to your compliance with this Agreement and payment of fees, we grant you a non-exclusive, non-transferable, non-sublicensable, worldwide licence to access and use the Service during the Subscription Term for your internal business purposes (including moderating Connected Pages you manage for your own clients).
19.3. Your data. You retain all rights in Customer Data. You grant us a limited, non-exclusive licence to host, process, transmit and display Customer Data solely to provide, secure and support the Service and as instructed by you, and as further described in the Data Processing Agreement.
19.4. No training on your data. We do not use Customer Data to train our own or third-party foundation models, and we contract with our AI provider on that basis.
19.5. Aggregated statistics. We may generate and use aggregated, de-identified statistics about use of the Service (for example volumes, error rates, feature adoption) to operate and improve it, provided such statistics do not identify you, your Connected Pages, or any individual.
19.6. Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
20. Confidentiality
20.1. Confidential Information means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential, including Customer Data, security information, non-public pricing, roadmaps and technical information.
20.2. Each party will keep the other's Confidential Information confidential, use it only to perform this Agreement, and protect it with at least reasonable care. Disclosure is permitted only to employees, affiliates, advisers and sub-processors who need it and are bound by comparable obligations.
20.3. These obligations do not apply to information that is or becomes public without breach, was already lawfully known, is independently developed, or is lawfully received from a third party.
20.4. A party may disclose Confidential Information where required by law or a competent authority, giving the other party notice where legally permitted.
20.5. These obligations continue for 5 years after termination, and for as long as the information remains a trade secret or contains personal data, indefinitely.
21. Indemnity
21.1. By you. You will defend, indemnify and hold us harmless from and against third-party claims, and resulting damages, awards, settlements approved by you, and reasonable legal costs, arising from:
a. your breach of Sections 10 or 11;
b. your lack of authority over a Connected Page;
c. Customer Data, including any claim that it infringes rights or was processed without a lawful basis;
d. content that was published, hidden, deleted or left visible through your use of the Service, including approved AI drafts and automated actions you configured;
e. your breach of Platform terms;
f. your breach of applicable data-protection law in your capacity as controller.
21.2. By us. We will defend you against a third-party claim that the Service, as provided by us and used in accordance with this Agreement, infringes that third party's intellectual property rights in the European Economic Area, and will pay damages finally awarded or amounts in an approved settlement. This does not apply where the claim arises from Customer Data, from your configuration, from combination with anything not supplied by us, or from use in breach of this Agreement. If the Service becomes, or we believe it may become, subject to such a claim, we may modify it, obtain a licence, or terminate the affected subscription with a pro-rated refund. This Section states our entire liability for infringement claims.
21.3. Procedure. The indemnified party must notify the indemnifying party promptly, allow it to control the defence and settlement (without admitting fault on the indemnified party's behalf), and provide reasonable cooperation at the indemnifying party's expense.
21.4. Section 17 applies to your indemnity obligations only to the extent permitted by mandatory law; the cap in 17.2 does not apply to your obligations under 21.1(a)–(f).
22. Data Protection
22.1. Our processing of personal data is described in the Privacy Policy and governed by the Data Processing Agreement (DPA), which is incorporated into this Agreement and applies where we process personal data on your behalf as processor.
22.2. Sub-processors. We currently use the following categories of sub-processor: BitCommand LLC (hosting and infrastructure, region: Frankfurt, Germany (European Union)), OpenRouter (AI inference, including the model providers it routes to), and Stripe (payment processing). The current list is maintained in the DPA. We will give notice of new sub-processors as set out there.
22.3. You acknowledge that comment text may contain personal data of third parties (commenters) that you do not control, and that you are responsible as controller for the lawfulness of processing it through the Service.
22.4. Where the DPA conflicts with this Agreement in respect of personal data processing, the DPA prevails.
23. Changes to These Terms
23.1. We may update this Agreement to reflect changes to the Service, our business, or legal requirements.
23.2. For material changes we will give at least 30 days' notice by email to your billing contact or by prominent in-app notice, and update the "Last updated" date. Non-material changes (clarifications, typographical corrections) take effect on publication.
23.3. Material changes take effect on the stated date. If you do not accept them, you may cancel before that date; continued use after the effective date constitutes acceptance.
23.4. We do not apply material changes retroactively to a period you have already paid for, except where required by law.
24. General
24.1. Assignment. You may not assign this Agreement without our written consent, except to a successor in a merger or sale of substantially all assets, provided the successor is not our competitor and you notify us. We may assign this Agreement to an affiliate or in connection with a merger, reorganisation or sale of assets.
24.2. Subcontracting. We may use subcontractors and sub-processors to provide the Service and remain responsible for their performance.
24.3. Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including Platform outages or API changes, internet or infrastructure failures, acts of government, war, natural disaster or industrial action. Payment obligations are not excused.
24.4. Notices. We may give notice by email to your registered address or by in-app notice. You give notice to us at support@wocomment.com. Notices are deemed received on the next business day after sending.
24.5. Severability. If a provision is held invalid or unenforceable, it is replaced by a valid provision that comes closest to its intent, and the rest of the Agreement remains in force.
24.6. No waiver. Failure to enforce a provision is not a waiver of it.
24.7. No partnership. Nothing creates a partnership, agency, joint venture or employment relationship.
24.8. Third-party rights. No third party has rights to enforce this Agreement.
24.9. Language. This Agreement is written in English. Any translation is for convenience; the English version prevails.
24.10. Order of precedence. In case of conflict: (1) a signed order form or enterprise agreement, (2) the DPA (for personal data processing), (3) this Agreement, (4) the Refund Policy, (5) other documentation.
25. Governing Law and Jurisdiction
25.1. This Agreement and any non-contractual obligations arising out of or in connection with it are governed by the laws of the Netherlands, excluding its conflict-of-law rules.
25.2. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
25.3. The competent courts of Rotterdam, the Netherlands, have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement. Either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
25.4. Where mandatory law grants you the right to bring proceedings in, or to the protection of the law of, your country of residence or establishment, that right is not affected.
25.5. Before starting proceedings, the parties will make a good-faith attempt to resolve the dispute by contacting each other at the addresses in Section 26.
